01The agreement

These Terms of Service (“Terms”) are an agreement between you and Vexsite, a digital marketing agency based in Riyadh, Kingdom of Saudi Arabia (“Vexsite”, “we”, “us”). They apply when you browse vexsite.com, engage us for services, or use the Vexsite ads dashboard.

If you are using our services on behalf of a company or store, you confirm that you have authority to accept these Terms for it, and “you” means that business.

Most clients also sign a proposal or service agreement setting out scope, fees and timelines. If that document conflicts with these Terms, the signed document wins for the point in conflict.

02Definitions

  • Services — the marketing work we do for you, such as campaign management, creative production, tracking setup, consulting and reporting.
  • App — the Vexsite ads dashboard, including its reports, exports, admin console and related features.
  • Ad Platforms — third-party advertising and analytics services such as Meta, Snapchat, TikTok, Google Ads and Google Analytics, and store platforms such as Salla.
  • Client Data — data you provide or authorise us to retrieve, including ad account data, store sales, report entries, logos and brand materials.
  • Ad Spend — the money paid to Ad Platforms for advertising, separate from our fees.

03Our services

We provide the Services described in your proposal or service agreement. We will perform them with reasonable skill and care, in line with good industry practice and the policies of the relevant Ad Platforms.

Work outside the agreed scope — extra platforms, additional creative, new stores or urgent requests — may be quoted separately. We will always confirm before charging for additional work.

We may use trusted subcontractors (for example, video editors) to help deliver the Services. We remain responsible for their work.

04The Vexsite ads dashboard

Access

Clients with an active managed account receive access to the App for their own stores and ad accounts. Access is provided through viewer and admin passcodes. Viewer sessions last up to 14 days; admin sessions last up to 12 hours.

You are responsible for keeping passcodes confidential, choosing who in your team receives them, and telling us promptly if you think one has been compromised. Activity under your passcodes is treated as yours.

What the App does

The App retrieves reporting data from connected Ad Platforms and presents it as dashboards, trend charts, campaign tables, a Creative Lab, and Excel or HTML exports. It can also calculate real ROAS by comparing store sales you import with ad spend for the same days.

About the numbers

  • Figures come from the Ad Platforms and from data you provide. Platforms often revise conversions for several days, so recent numbers can change. The App re-checks recent days and marks reports as incomplete when data is missing.
  • Currency conversions (for example, Snapchat USD to SAR) use a fixed rate set in the App and are for reporting only.
  • Data shown in demo mode is clearly labelled as sample data and does not represent any real account.
  • The App is a reporting tool. It is not accounting, tax or financial advice, and you should reconcile figures with your own records and invoices before relying on them for those purposes.

Changes and availability

We continually improve the App and may add, change or remove features. We aim to keep it available at all times but do not guarantee uninterrupted access; maintenance, Ad Platform outages or API changes may affect it. We are not responsible for unavailability caused by third parties.

05Acceptable use

When using the website or the App, you agree not to:

  • share access with people outside your organisation, or resell or sublicense the App;
  • attempt to access data, stores or accounts that are not yours;
  • probe, scan or test the App's security, or try to bypass login limits or other protections;
  • copy, reverse-engineer or decompile the App, except where the law allows it;
  • upload files containing malware, or content you don't have the right to use;
  • use automated tools to scrape or overload the website or App;
  • use the Services for advertising that is unlawful, misleading, or against Ad Platform policies.

We may suspend access immediately if we reasonably believe these rules are being broken, and will tell you why.

06Your responsibilities

  • Give us the access, information, approvals and materials we need, on time.
  • Make sure your products, offers, landing pages and store comply with applicable law, including Saudi e-commerce, consumer protection and advertising regulations, and any licences your business needs.
  • Confirm you own or have rights to the logos, images, copy and other materials you give us.
  • Review and approve ad creative and copy before it goes live when we ask you to. Approved material is your responsibility.
  • Keep your Ad Platform accounts in good standing and your payment methods with them valid.

07Ad spend & Ad Platforms

  • Ad accounts stay in your name. Unless agreed otherwise in writing, you pay Ad Spend directly to the Ad Platforms using your own payment method.
  • We manage spend within the budgets you approve. Ad Platforms can occasionally deliver slightly above a daily budget; this is controlled by them, not us.
  • Your use of each Ad Platform is also governed by that platform's own terms and policies. Ad Platforms may reject ads, limit delivery or restrict accounts at their discretion, and we cannot guarantee approval.
  • We are not responsible for Ad Platform decisions, outages, policy changes, billing errors or changes to how they measure results, though we will help you resolve them.

08Fees & payment

  • Our fees are set out in your proposal or service agreement and are separate from Ad Spend.
  • Unless stated otherwise, fees are in Saudi riyals (SAR), exclude VAT, and are invoiced monthly in advance. VAT is added where applicable.
  • Invoices are due within 14 days. If payment is more than 14 days late, we may pause Services and App access after giving you written notice.
  • Fees already paid for a period that has started are non-refundable, except where these Terms or the law say otherwise.

09Ownership

What's yours

You own your ad accounts, pixels, pages, Client Data and the brand materials you supply. Once you have paid for it, you also own the final creative we produce specifically for you (ads, videos, images and copy). We may keep copies for our records.

What's ours

We own the App, its software and design, our templates, methods, know-how and any general tools we use across clients. You receive a limited, non-exclusive, non-transferable right to use the App for your internal business purposes while your account is active.

Portfolio

We will not name you as a client or show your work publicly without your written permission.

10Your data

We use Client Data only to provide the Services and the App to you, and as described in our Privacy Policy. For personal data inside Client Data, you are the controller and we act as your processor.

You authorise us to retrieve reporting data from the Ad Platforms you connect, and confirm that you have the rights and permissions needed for us to do so. You can withdraw that authorisation at any time by removing our access inside the Ad Platform.

You can export your reports from the App at any time while your account is active. When the agreement ends, we delete Client Data from the App within 30 days, unless we must keep it by law.

11Confidentiality

Each of us will keep the other's non-public business information — including sales figures, campaign performance, pricing and strategies — confidential, and use it only for this agreement. This does not apply to information that is already public, was already known, is independently developed, or must be disclosed by law. These obligations continue for three years after the agreement ends.

12No guaranteed results

Advertising results depend on many things outside our control: your products, prices, stock, website, competition, seasonality and the Ad Platforms' own systems. We commit to doing good work and reporting honestly, but we do not guarantee any particular level of sales, ROAS, traffic, rankings or other outcome.

13Limitation of liability

  • To the extent permitted by law, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data, arising from these Terms.
  • Our total liability to you for all claims in any 12-month period is limited to the fees you paid us for the Services in the 3 months before the event giving rise to the claim. Ad Spend is not counted as fees.
  • Nothing in these Terms limits liability for fraud, wilful misconduct, or anything else that cannot be limited under Saudi law.

The website and App are provided “as is” and “as available”, without warranties beyond those set out in these Terms or required by law.

14Indemnity

You agree to cover reasonable losses and costs we incur from third-party claims arising from your products or services, materials you supplied, ad content you approved, or your breach of these Terms or applicable law.

15Ending the agreement

  • Either party may end the Services with 30 days' written notice, unless your service agreement sets a different term.
  • Either party may end it immediately if the other seriously breaches these Terms and doesn't fix the breach within 14 days of written notice.
  • When it ends: we hand over any final creative you've paid for, remove our access to your accounts, and close your App access. You pay fees due up to the end date.
  • Sections on ownership, data, confidentiality, liability, indemnity and governing law continue after the agreement ends.

16Governing law & disputes

These Terms are governed by the laws of the Kingdom of Saudi Arabia. We'll always try to resolve disagreements by talking first. If a dispute can't be resolved within 30 days, it will be referred to the competent courts in Riyadh.

17General

  • Changes. We may update these Terms. We'll post the new version here and give clients at least 14 days' notice by email of material changes. Continuing to use the Services or App after that means you accept them.
  • Force majeure. Neither party is responsible for delays caused by events beyond reasonable control, such as outages, Ad Platform failures or government action.
  • Assignment. You may not transfer this agreement without our written consent. We may transfer it as part of a reorganisation or sale of our business, with notice to you.
  • Language. These Terms are written in English. If we provide an Arabic version and there is a conflict, the Arabic version prevails where required by Saudi law.
  • Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
  • Entire agreement. These Terms, your proposal or service agreement and our Privacy Policy are the whole agreement between us about their subject.
